Section 1

Agreement to Terms

IMPORTANT LEGAL NOTICE: THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. BY USING ESTATE VAULT, YOU AGREE TO THESE PROVISIONS. PLEASE REVIEW THE DISPUTE RESOLUTION SECTION CAREFULLY.

By accessing or using Estate Vault’s website, platform, documents, tools, or related services, you confirm that you have read, understood, and agree to these Terms of Service.

If you do not agree, you must not access or use the Services.

You further agree to comply with all applicable laws and regulations governing your use of the Services.

You must be at least 18 years old and legally capable of entering into a binding contract.

Section 2

Definitions

For purposes of these Terms:

“Site” means any website operated by Estate Vault.

“Services” means the Site and all tools, templates, forms, document generation services, subscriptions, storage features, and related offerings.

“Estate Vault,” “we,” “us,” and “our” refer to the operating entity providing the Services and its affiliates, officers, employees, contractors, and agents.

“You” and “User” refer to any individual or entity using the Services.

“Member” refers to a User who has created an account.

“Affiliate” refers to third parties that promote or refer users to Estate Vault.

“NPO Platform” refers to the platform through which approved nonprofit organizations receive donor-related data and referral functionality.

“NPO” refers to a registered 501(c)(3) organization approved to participate in the NPO Platform.

“Donor Data” refers to user data shared with NPOs pursuant to the Privacy Policy.

“Referral Program” refers to discount code functionality provided to certain NPO participants.

Section 3

Changes to These Terms

We may revise these Terms at any time. Updated versions will be posted on the Site and the “Last Updated” date will be revised.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

If you do not agree with modifications, your sole remedy is to discontinue use.

Additional Policies

Your use of the Services is also governed by our Privacy Policy and any service-specific terms that apply to particular features, subscriptions, or offerings.

ESTATE VAULT IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE.

The Services provide automated self-help tools and templates for informational purposes only. They are not a substitute for individualized legal advice from a licensed attorney.

Your use of the Services does not create an attorney-client relationship between you and Estate Vault or any of its personnel.

Communications are protected by our Privacy Policy but are not protected by attorney-client privilege.

We do not review your entries for legal accuracy or suitability. We do not apply law to your specific circumstances. If your situation requires professional judgment, you should consult a licensed attorney.

Automated Error Review

Any document review feature is limited to checking completeness, spelling, and internal consistency. It does not evaluate:

HIPAA Disclaimer

Estate Vault is not a Covered Entity or Business Associate under HIPAA.

The Services are not designed to store Protected Health Information subject to HIPAA security rules.

Any HIPAA authorization form created through the platform is for your independent use. You are responsible for delivering it to providers and ensuring its accuracy.

Section 7

Property Valuation Disclaimer

Any property value information provided through integrations or estimates is for informational purposes only. It is not an appraisal and should not be relied upon for lending, underwriting, legal, or financial decisions.

User Responsibilities and Content

You are responsible for your account, your uploaded content, and any shared access permissions.

You may only create an account for yourself or yourself and your spouse with proper authorization.

Section 9

Concierge Authorization

If you request concierge assistance, you authorize Estate Vault personnel to access your account solely to carry out your instructions. You are responsible for reviewing changes made at your request.

Interactions may be recorded for quality and compliance.

Artificial Intelligence

We may use AI tools to improve workflows, support, and document analysis.

We do not use your Estate Plan Content to train external AI models.

You are responsible for information submitted to AI features and must ensure it complies with these Terms.

AI outputs may not be accurate and are not legal advice.

Section 11

Intellectual Property

All platform content, branding, software, and materials are owned by Estate Vault or its licensors.

You are granted a limited, non-transferable license to use the Services for personal, non-commercial use.

Unauthorized copying, scraping, distribution, or modification is prohibited.

Section 12

Prohibited Conduct

You may not:

Changes to Services

We may modify, suspend, or discontinue Services at any time without liability.

Data may be deleted upon termination.

Payment and Subscriptions

Paid Services are subject to fees and billing terms presented at purchase.

You authorize us or our payment processor to charge your payment method.

All purchases are final unless otherwise required by law.

Promotional rates may expire and revert to standard pricing.

Failure of payment may result in suspension.

Third Party Benefits

If access is provided via employer or membership benefit, eligibility depends on that third party agreement.

Security

You are responsible for maintaining confidentiality of login credentials.

Shared access permissions extend to delegated individuals.

Estate Vault is not liable for misuse of shared access.

Indemnification

You agree to defend, indemnify, and hold harmless Estate Vault and its affiliates from claims arising out of:

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted access, accuracy, or error-free operation.

Section 18

Limitation of Liability

To the maximum extent permitted by law:

Estate Vault shall not be liable for indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the amount you paid to Estate Vault.

This limitation applies regardless of legal theory.

Governing Law

These Terms are governed by California law.

Any disputes not subject to arbitration shall be resolved in San Diego County, California.

Section 20

Arbitration and Class Action Waiver

All disputes must first undergo informal resolution.

If unresolved, disputes shall be resolved by binding arbitration under the Federal Arbitration Act.

You waive the right to jury trial and class participation.

Arbitration will be administered by National Arbitration and Mediation or successor provider.

Mass filing procedures and batching apply where required.

Donor Data Use

NPOs may use Donor Data only for legitimate charitable purposes and may not sell or transfer it.

NPOs must comply with privacy laws and delete data upon termination.

Referral Program

Referral codes must be used lawfully and not misleadingly.

Termination

Estate Vault may revoke access for misuse or loss of nonprofit status.

Third Party Services

We are not responsible for third-party websites, integrations, or services.

Professional use of consumer platform is not endorsed.

We disclaim liability for affiliate involvement.

Section 23

Tax and Financial Disclosure

Estate Vault does not provide tax or financial advice.

Any financial or tax information is for educational purposes only.

IRS Circular 230 Disclosure

Any federal tax information is not intended to avoid penalties or promote transactions.

Access to Deceased Member Accounts

Access requires valid legal documentation demonstrating authority.

Notifications

You consent to receive communications including automated calls and texts.

Marketing messages may be opted out of.

Severability

If any provision is invalid, the remainder remains enforceable.

Entire Agreement

These Terms constitute the entire agreement between you and Estate Vault regarding the Services.
